1. Scope of Services
1.1 designernils provides web design services as outlined in the project proposal or agreement.
1.2 Any additional services not specified in the initial agreement will be charged separately.
2. Project Timeline and Deliverables
2.1 Project timelines and deliverables will be agreed upon in writing before the commencement of work.
2.2 Any delays caused by the client may result in adjusted timelines and additional costs.
3. Payment Terms
3.1 A non-refundable deposit of 50% is required before work begins.
3.2 The remaining balance is due upon project completion, unless otherwise agreed.
3.3 Late payments will incur a 5% monthly interest charge.
4. Revisions and Alterations
4.1 The project includes 3 rounds of revisions. Additional revisions will be charged at an hourly rate.
4.2 Major changes to the project scope may require a new quote.
5. Intellectual Property Rights
5.1 The client retains ownership of their original content and materials.
5.2 designernils retains ownership of all design elements until final payment is received.
5.3 Upon full payment, the client receives a license to use the final design for its intended purpose.
6. Communication and Project Continuity
6.1 The client agrees to maintain regular communication throughout the project.
6.2 If the client fails to respond to emails or other forms of communication for more than 1.5 weeks (10 business days) without prior notice, the project will be paused.
6.3 To resume a paused project, a re-activation fee of 10% of the total project cost will be charged.
6.4 designernils reserves the right to terminate the project if communication cannot be re-established within a reasonable timeframe.
7. Termination
7.1 Either party may terminate the agreement with 14 days’ written notice.
7.2 The client is responsible for payment of all work completed up to the termination date.
8. Liability
8.1 designernils is not liable for any consequential damages or lost profits arising from the use of our services.
8.2 Our total liability is limited to the amount paid for the project.
9. Confidentiality
9.1 Both parties agree to keep all project-related information confidential.
10. Governing Law
10.1 These terms are governed by the laws of Germany.
